Terms of Use

These Terms of Use (“Terms”) constitute a legally binding agreement between you (whether personally or on behalf of an entity, “Customer”, “you”) and Pison Labs Ltd. (“Pison Labs”, “we”, “us”, “our”), concerning your access to and use of the Pison Labs website, developer APIs, documentation, speech recognition models, text-to-speech engines, translation services, voice cloning systems, and associated datasets (collectively, the “Platform”).

By creating an account, generating an API key, calling any API endpoint, or integrating our software development kits (SDKs), you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Platform and must discontinue use immediately.

Pison Labs provides developer-grade artificial intelligence and voice infrastructure engineered specifically for African languages and accents. Our services encompass:

• Speech-to-Text (ASR): Streaming and batch acoustic transcription for Nigerian Pidgin, Yoruba, Hausa, Igbo, Swahili, Twi, Wolof, Zulu, and regional lingua francas.
• Text-to-Speech (TTS): Naturalistic, diacritic-aware neural voice synthesis and studio-grade telephony audio rendering.
• Machine Translation: Bidirectional dialectal and cultural translation preserving African idioms and lexical nuances.
• Voice Cloning & Synthesis: Custom voice profile generation subject to recorded speaker authorization.
• Language & Dialect Detection: Real-time identification of African tongues and regional tonal variants.

Access to our inference endpoints requires authentication through unique API keys. You are exclusively responsible for maintaining the confidentiality of your credentials. You may not share, sell, or disclose your API keys to unauthorized third parties. Any request authenticated with your API key will be deemed authorized by you.

We implement programmatic rate limits across tiers (Free, Pro, Business, and Enterprise) to prevent platform degradation. Attempts to circumvent rate limiting, distribute traffic across fabricated accounts, or perform denial-of-service tests without prior written consent will result in immediate API key revocation.

You agree to use the Platform exclusively for lawful and ethical business purposes. You expressly agree NOT to use the Platform to:

• Generate, distribute, or broadcast deceptive voice clones or synthetic audio impersonating real individuals, political candidates, public figures, or private citizens without explicit written consent.
• Execute fraudulent telecommunications activities, including automated scam calls, caller ID spoofing, unauthorized debt recovery harassment, or biometric spoofing.
• Generate hate speech, incitement to violence, discriminatory audio, or content that violates applicable regional laws in any African jurisdiction.
• Reverse engineer, decompile, or extract the underlying model weights, embeddings, or proprietary neural architecture of our speech engines.
• Use outputs from the Platform to train competitive foundation models or substitute services without an explicit commercial data licensing contract.

Pison Labs operates a strict biometric consent protocol. Creation of custom voice clones requires verifiable evidence that the speaker has consented to:

1. The recording and acoustic extraction of their unique vocal timbre.
2. The specific enumerated commercial or research scopes of the cloned asset.
3. The knowledge that synthetic audio will be rendered using their identity.

Speakers retain the irrevocable right to withdraw their consent upon 30 days written notice, requiring Pison Labs and the Customer to cease generating new synthesis runs with the associated profile.

Customer Data: You retain sole and exclusive ownership of all text, audio, scripts, and inputs submitted to the Platform (“Customer Inputs”). Pison Labs claims no ownership rights in your inputs or in the synthesized audio results generated directly from your prompts.

Pison Labs IP: All acoustic models, neural weights, tokenizers, cultural entity graphs, APIs, software libraries, and website designs remain the exclusive intellectual property of Pison Labs Ltd. and its licensors.

Zero-Training Guarantee: Customer Inputs submitted through our paid API endpoints are not used to train, retrain, or improve our public foundation models, unless you explicitly opt in under a mutually agreed data partnership agreement.

Service availability is provided according to your tier. Enterprise contracts carry an auditable 99.9% to 99.95% uptime Service Level Agreement (SLA) with contractual service credits for qualifying downtime.

Billing is denominated in Nigerian Naira (NGN) or United States Dollars (USD) as specified on your invoice. For local currency contracts, standard terms incorporate a bilateral currency adjustment threshold in the event of foreign exchange devaluations exceeding published benchmark margins.

To the maximum extent permitted by applicable law, Pison Labs Ltd. and its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising out of or related to your use of or inability to use the Platform.

You agree to defend, indemnify, and hold harmless Pison Labs Ltd. against any claims, damages, obligations, losses, liabilities, costs, and expenses (including legal fees) arising from your breach of these Terms, unauthorized voice cloning, or violation of third-party intellectual property or privacy rights.

These Terms and your use of the Platform shall be governed by and construed in accordance with the substantive laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be subject to good-faith mutual negotiation for a period of thirty (30) days. Failing resolution, the dispute shall be finally settled by arbitration administered under the Arbitration and Mediation Act of Nigeria, held in Lagos State, conducted in the English language by a sole arbitrator mutually agreed upon.

We reserve the right to revise these Terms from time to time. When material changes are made, we will notify registered account holders by email and update the “Last Updated” date at the top of this document. Continued use of our Platform after such modifications constitutes constructive acceptance of the revised terms.
